Overall Purpose:

As AVP Senior Legal Counsel – Tax, you will serve as a primary legal advisor on tax matters across the enterprise. This position represents the company in federal, state and local tax controversies, as well as assisting the business with tax planning matters. You will collaborate closely with internal business units, external counsel, and tax authorities to ensure the company’s tax and financial strategies align with strategic objectives.

Key Responsibilities:

  • Advise executive leadership, the Tax Department and business teams on legal matters pertaining to federal, state and local tax matters.
  • Assist the Tax Department in defending the company in federal, state and local tax controversies, from audit through administrative appeals and litigation (as necessary).
  • Draft, review, and negotiate a wide range of contracts, such as tax closing/settlement agreements, charitable contribution agreements and other legal documents.
  • Direct outside counsel and coordinate with internal legal, compliance, and risk management teams to manage litigation or disputes related to tax matters and unclaimed property.
  • Monitor changes in tax laws, telecommunications regulations, and industry standards, proactively advising stakeholders of impacts to business operations.
  • Join a team of in-house attorneys and legal professionals, fostering professional growth and high performance.

Qualifications:

  • Juris Doctor (JD) from an accredited law school; active and good standing with a state bar.
  • 8+ years of experience in tax law, with a proven track record in federal and state tax litigation.
  • Familiarity with other related legal fields, including nonprofit law and unclaimed property.
  • Extensive experience negotiating and drafting tax closing/settlement agreements and other commercial documents.
  • Skilled in advising and counseling business leaders on a variety of business issues.
  • Excellent leadership, negotiation, communication, and problem-solving skills.
  • Ability to manage multiple high-value projects and deadlines in a fast-paced, dynamic environment.

Preferred:

Prior tax litigation experience within the United States Department of Justice, Internal Revenue Service, or other federal agency.

The Goldman Sachs Global Banking and Markets -- Equities Derivatives Legal team is seeking an experienced corporate attorney to provide legal support to business teams that structure and execute equity-linked derivatives products. Primary responsibilities will include advising on legal issues in connection with equity-linked derivatives products, and drafting/negotiating/executing derivatives and financing transaction documents.

This attorney must be experienced in ISDA architecture/documentation, U.S. securities law, broker-dealer regulations, Exchange Act rules and some Title VII. He or she must be comfortable with products for issuers (e.g., ASRs, call-spread overlays and VPFs), as well as products for affiliates/shareholders. Experience with margin loans would be a plus.

Responsibilities:

Qualifications:

  • Knowledge of and experience with U.S. securities laws (e.g., Section 5),broker-dealer regulations, Exchange Act rules (e.g., 10b5, Rule 144) and some Title VII.
  • Excellent communications skills

Key Responsibilities

Strategic Leadership

  • Provide leadership on issues of financial affairs, creating and leading a strong, disciplined, well-formed, and achievement-oriented financial team.

  • Establish a plan and schedule for the preparation of the annual budget that will not only permit the setting of the succeeding year’s tuition by the Board of Trustees, but also ensure the School’s financial stability.
  • Develop projections and ensure that the budget, budget revisions, and/or budget requests, are prepared within guidelines and are submitted within the established time frames.
  • Make recommendations relative to the accounting of assets, revenues, and expenditures.
  • Oversee the annual audit of the school’s financial reports and financial position.
  • Oversee the preparation and timely filing of the annual Form 990 Report.
  • Oversee all school purchasing, financial investments, banking activities.
  • Ensure all aspects of the School’s financial management and accounting functions as a 501(c)(3) not-for-profit organization reflect sound and prudent stewardship and compliance with regulatory agencies.

Employee Benefits Administration & Risk Management

  • Oversee all Human Resource responsibilities for the School including conflict resolution, performance improvement plans and adherence to school employment expectations.
  • Collaborate with the Head of School on the development and implementation of strategies and best practices on the School’s hiring processes and administration of colleague benefits programs, including pension, health insurance, life and disability insurance, flexible spending accounts, and 403(b) plans.
  • Ensure school compliance with personnel rules and regulations, EEO/AA, and labor laws.
  • Proactively work with the School’s counsel on contract, employment, real estate, tax and related issues.
  • Develop and monitor the School’s contracts and act as a liaison to outside vendors and organizations.

Facilities Management & Auxiliary Operations

  • Oversee and supervise facilities management for the School.

  • Identify and initiate enhancements to the School’s physical plant to maintain, preserve and ensure asset value. Initiate a long-term campus master planning process.
  • Represent the School in sending requests for proposals and securing contractual agreements for approved renovation and construction projects.
  • Represent the School to local municipal and regulatory agencies for the purposes of building positive relationships and securing land development and building approvals.
  • Oversee school transportation, including vehicle maintenance, fleet replacement, and contracts and to assess the performance of the transportation companies.
  • Ensure the effective management of the bookstore, student health center and the food-service operations.
  • Oversee and work collaboratively with the Director of Information Technology.

Requirements

We are a well established company operating in the industrial supply space. We sell all across the US, Canada, and Mexico through a combination of e-commerce sales and direct sales. In total, we are a licensed reseller for over 14 million SKUs! Current total revenue is in excess of $60MM in annual top line sales. To date we have largely been driving our organic and paid acquisition strategies through an agency partner but have reached a plateau with that path. At this time we are seeking a marketing leader to build out the E-commerce marketing function in house. This will be an individual contributor role to start with the expectation of building a team. You will have a budget for vendors and ad spend as well. We are seeking a Marketing professional who has deep subject matter expertise driving paid and organic programs in an ecommerce company with a catalogue of 1 million plus unique product SKUs. Candidates coming from electrical supply, industrial supply and related industries are highly preferred.

ABOUT THE ROLE

Reporting to the CEO, you will have a high degree of autonomy and an expectation to both drive strategy and an execution model. The top line goal is to double online sales within 12 months of starting. The ideal candidate is highly analytical and lives in the data. You are constantly proactively looking through the traffic data for opportunities to deploy new strategies and not afraid to double click, dig in, and identify root causes of variances in traffic and revenue as relates to particular strategies. For someone who is creative, thrives in a high autonomy environment, and has the deep subject matter expertise with regards to paid and organic search marketing, this is an ideal role.

DUTIES & RESPONSIBILITIES

  • Drive the overall E-commerce marketing strategy to double online sales within 12 months
  • Evaluate current marketing infrastructure, architecture and strategies and drive continuous improvement
  • Implement, run, and work in various paid and organic marketing tools to monitor traffic data and act accordingly
  • Source and manage vendors, contractors, and partners with an emphasis on offshoring
  • Design, implement, and manage various projects and programs
  • Design and execute various paid and organic acquisition strategies including online and other media channels
  • Hire and grow an internal team as needed

EXPERIENCE AND QUALIFICATIONS

The ideal candidate brings a mix of strategy and execution to the table and is obsessed with data. We are seeking a highly analytical person who lives in the data, parsing and filtering down on large volumes of data to gain valuable insights and act upon them. You're a tinkerer and constantly trying new strategies to stay ahead of the curve. The emphasis for this role is not about messaging strategy, content, or design - it's about analyzing data and using that data to inform decisions and strategies.

  • First and foremost you are a subject matter expert in paid and organic search marketing (particularly google adwords).
  • You are knowledgeable about GA4 standards and the impact of these standards vs universal analytics
  • You intimately understand the limitations and intricacies of Google adwords, keywords, tag manager, various bidding paradigms, etc.
  • You have had direct ownership of an annual marketing budget of at least $1 Million. Ideally $3M+.
  • You have hands‑on, direct and deep experience running various tools for paid and organic search and are comfortable working in them on a daily basis
  • Minimum 3+ years in a B2B e-commerce environment with massive number of SKUs (minimum 1 million SKUs)
  • Experienced writing job ads, project plans, and recruiting offshore resources through platforms such as upwork
  • Experienced sourcing and managing offshore teams for projects and programs both long and short term
  • Strong plus if you have in‑housed an ecommerce marketing function in a company that had previously relied on an agency to drive the function prior to your joining
  • Strong plus if you have built an e‑commerce function from the ground up
